Peter Carroll
Peter graduated from the University of Sydney with a Bachelor of Laws in 1971
and Master of Laws with Honours in 1977. He is the joint author of Trust Transactions
in The Australian Encyclopaedia of Forms and Precedents. Peter has practised extensively
in company and commercial law involving public companies, proprietary companies,
takeovers, mergers and acquisitions, advising directors on all areas concerning
their duties and obligations, and shareholder and joint venture agreements. He
also practises in the areas of commercial leasing, property acquisitions and development,
finance and securities, stamp duty, trusts, estate planning and general commercial
contracts.
Past projects include as examples:
- Registration of a managed investment scheme including obtaining a dealer's
licence for the responsible entity and registration of a prospectus and compliance
plan
- Documentation with respect to acquisition/sale of shareholding in IT companies
- Lease documentation for the largest supercentre in NSW and associated warehouse
development
- Advising on title and leases in acquisitions of Hotel/Office Tower, 5 Star
hotels, office and commercial buildings
- Management deadlock disputes
- Acting for a party involved in the sale of regional television stations
